Terms of Service

1. Agreement to Terms

By accessing or using the VidiVeni platform ("Service"), operated by VidiVeni ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

VidiVeni is a SaaS platform that enables registered clients ("Clients") to generate AI-powered city trip guides delivered as Progressive Web Apps (PWAs) to their customers ("End Users") via secure, time-limited links.

3. Accounts and Registration

To use the Service as a Client, you must create an account with accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to promote illegal activities
• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt to gain unauthorized access to other accounts or systems
• Redistribute, resell, or sublicense the Service without our written consent
• Generate content that is defamatory, discriminatory, or otherwise harmful
• Use automated scripts to access the Service outside of our documented API

5. AI-Generated Content

Guides are generated using artificial intelligence. While we strive for accuracy, AI-generated content may contain inaccuracies, outdated information, or errors. Clients are responsible for reviewing guide content before sharing it with End Users. We do not guarantee the accuracy, completeness, or fitness for purpose of any generated content.

6. Intellectual Property

The Service, including its software, design, and branding, is owned by VidiVeni and protected by intellectual property laws. Clients retain rights to their account data and any custom content they add to guides. AI-generated guide content is licensed to the Client for use with the Service.

7. Guide Links and Delivery

Each guide is delivered via a unique, token-based URL. Links expire automatically after the configured period (default: one week after the trip end date). Clients may revoke guide access at any time through the dashboard. Once a guide is installed as a PWA, it functions offline independently of the link.

8. Payment and Billing

Paid plans are billed on a recurring basis as described on the Pricing page. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance.

9. Termination

We may suspend or terminate your account for violation of these Terms. You may cancel your account at any time through the dashboard. Upon termination, your guide data may be deleted after a 30-day grace period. Active guide links for End Users will continue to function until their natural expiry.

10. Limitation of Liability

To the maximum extent permitted by law, VidiVeni shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

12. Privacy

Your use of the Service is also governed by our Privacy & Cookie Policy, which describes how we collect, use, and protect your data.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes shall be resolved in the competent courts of the Netherlands.

14. Changes to Terms

We may update these Terms from time to time. We will notify registered Clients of material changes via email or through the dashboard. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
